Terms of Service

Effective 1 October 2026

The short version. Closingly is in beta, so things will change and occasionally break. You own everything you put into it. Tell people on your calls that you’re recording and get their consent where the law requires it. Closingly drafts, and you decide: always review a proposal, price or follow-up before you send it. These terms are governed by the laws of Pakistan.

1. Agreeing to these terms

These terms are an agreement between you and Closingly (“Closingly”, “we”, “us”), based in Pakistan. They cover our website at closingly.app, the founding beta application and the Closingly web app (together, the “Service”). By using the Service you agree to these terms and to our Privacy Policy. If you use the Service for a business, you agree on behalf of that business.

You must be at least 18 years old and able to enter a binding contract to use the Service. The Service is for professional use, not personal or household use.

2. The Service and the beta

Closingly joins the calls you choose, and turns them into drafted proposals, price recommendations, follow-ups, a deal pipeline and insights. The Service is in an invite-only beta. That means:

We’ll do our best to tell you in advance about changes that significantly affect how you use Closingly.

3. Your account

You sign in with your Google account. You’re responsible for keeping that account secure and for everything that happens under your Closingly account. Tell us straight away at hello@closingly.app if you think someone else has accessed it. Give us accurate information and keep it up to date.

4. Recording calls and consent

The Closingly Notetaker only joins the calls you switch on, and it appears in the call as a visible participant. Laws on recording and transcribing conversations differ between countries and states, and some require the consent of everyone on the call.

You are responsible for telling everyone on a call that it is being recorded and transcribed, getting any consent the law requires before you record, and stopping the recording if someone asks. You must not use the Service to record anyone secretly or unlawfully.

5. Acceptable use

You agree not to:

6. Your content

Your content is everything you or the people on your calls put into the Service: recordings, transcripts, deals, proposals, notes and the rest. You own your content. You give us permission to host, copy, process and display it only to run the Service for you, as described in our Privacy Policy. This permission ends when you delete the content or your account, except for backup copies that expire on their own.

You confirm that you have the rights and consents needed to give us your content, including what other people say on your calls.

7. AI output

Closingly uses AI to draft proposals, recommend prices, write follow-ups and answer questions. AI can be wrong, incomplete or out of date, and the same request can produce different answers. Closingly shows you drafts so you stay in control.

8. Other services

The Service works with other companies’ services, such as Google Calendar, Gmail, Google Meet, Zoom and Microsoft Teams. Your use of those services is governed by their own terms. We aren’t responsible for them, and if they change or stop working with Closingly, some features may stop working too.

9. Fees and limits

The founding beta is free. If we introduce paid plans, we will tell you at least 30 days before any charge applies, and you will never be charged without agreeing to it first. Recording time is limited per account, because recording and transcription cost us per hour. We will show you your limits in the app.

10. Our rights

The Service, including its software, design, text and branding, belongs to Closingly and is protected by law. These terms give you the right to use the Service, not to own any part of it. If you send us feedback or ideas, we may use them freely, with no obligation to you.

11. Suspending or ending your use

You can stop using Closingly and delete your account at any time from your account settings. We may suspend or end your access if you break these terms, if your use puts other users or the Service at risk, if the law requires it, or if we stop offering the Service. Where it’s reasonable, we will warn you first and give you a chance to export your data. Sections 6 to 8 and 12 to 16 continue to apply after your access ends.

12. Disclaimers

The Service is provided “as is” and “as available”, especially during the beta. To the fullest extent the law allows, we make no promises that it will be uninterrupted, error free or secure, or that its output will be accurate or will win you any deal, and we disclaim all implied warranties, including fitness for a particular purpose.

13. Limitation of liability

To the fullest extent the law allows, Closingly will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, deals, clients, data or goodwill, however it arises. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or USD 50. Nothing in these terms limits liability that the law does not allow us to limit.

14. Your responsibility to us

If someone brings a claim against Closingly because of your content, your recording of a call without the consent the law requires, or your breach of these terms, you agree to cover the reasonable costs and losses that result.

15. Governing law and disputes

These terms are governed by the laws of the Islamic Republic of Pakistan. Before starting any formal dispute, please email hello@closingly.app and give us 30 days to try to resolve it. Any dispute that can’t be resolved that way will be decided exclusively by the courts of Islamabad, Pakistan, and you and Closingly both agree to their jurisdiction.
